These Terms of Use ("Terms") constitute a legal agreement between you ("User," "you," or "your") and One Punch Technology, Inc. ("Company," "we," "our," or "us") regarding your use of Tinify.ai ("Service"). By accessing or using our AI-powered image optimization service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use our Service.

2. Description of Service

Tinify.ai is a software-as-a-service (SaaS) platform that enables users to:

• Upload and optimize images using AI-powered compression technology
• Upscale images using advanced AI algorithms (Real-ESRGAN)
• Generate SEO-optimized metadata and alt text automatically
• Convert between different image formats (PNG, JPEG, WebP, etc.)
• Process images in batches for efficiency
• Access our API for programmatic image optimization

3. User Accounts

Account Creation

You must provide accurate, complete, and current information when creating an account. You are responsible for maintaining the confidentiality of your account credentials.

Account Responsibilities

• You are solely responsible for all activities under your account
• You must immediately notify us of any unauthorized use
• You must be at least 18 years old to use our Service
• One person or legal entity may maintain only one account

4. Credit System and Usage

How Credits Work

Our Service operates on a credit-based system. Credits are consumed each time you perform an image processing operation. Different operations consume different amounts of credits based on their computational complexity:

Credits are deducted at the time of processing. If you do not have sufficient credits for an operation, the request will be declined. Batch operations will consume credits for each image processed.

Credit Allocation

• Free tier: Credits reset daily at midnight UTC
• Paid tiers: Credits reset monthly on your billing date
• Unused credits do not roll over to the next period
• Credits are non-transferable between accounts or billing periods

5. Subscription Tiers and Usage Limits

We offer the following subscription tiers, each with specific limits and features:

Free Tier

• Credits: 50 credits per day (resets daily at midnight UTC)
• Batch limit: Up to 20 files per batch upload
• Data retention: Processed images stored for 24 hours
• Support: Community support only

Pro Tier ($29/month or $279/year)

• Credits: 3,000 credits per month (resets on billing date)
• Batch limit: Up to 30 files per batch upload
• Data retention: Processed images stored for 7 days
• Support: Email support with 48-hour response time
• API access: Full API access included

Max Tier ($89/month or $849/year)

• Credits: 10,000 credits per month (resets on billing date)
• Batch limit: Up to 50 files per batch upload
• Data retention: Processed images stored for 14 days
• Support: Priority email support with 24-hour response time
• API access: Full API access with higher rate limits

6. Billing and Payments

Subscription Billing

For paid subscriptions, you agree to the following:

• You must provide valid, current payment information (credit card, debit card, or other accepted payment methods)
• You authorize us to charge your payment method on a recurring basis (monthly or annually, based on your selected plan)
• All prices are in US Dollars (USD) unless otherwise specified
• Applicable taxes may be added based on your location

Auto-Renewal

All paid subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. You will be charged the then-current subscription rate at renewal. We will notify you via email before any price changes take effect.

Refund Policy

General policy: All fees are non-refundable except as required by applicable law or as expressly set forth herein.

• No partial refunds: We do not provide refunds or credits for partial months or unused credits
• Downgrade policy: If you downgrade your subscription, the change takes effect at the end of your current billing period. You will continue to have access to your current tier's features until then
• Cancellation: If you cancel your subscription, you will retain access to paid features until the end of your current billing period. No pro-rata refunds are provided for early cancellation
• Annual subscriptions: Annual subscriptions are billed upfront for the full year. No refunds are provided for annual subscriptions that are cancelled mid-term
• Service issues: If you experience significant service outages or technical issues that prevent you from using the Service, contact us at billing@tinify.ai to discuss potential remedies on a case-by-case basis

Failed Payments

If a payment fails, we will attempt to charge your payment method up to three additional times over a 10-day period. If all attempts fail, your account will be downgraded to the Free tier, and you will lose access to paid features. Any data exceeding Free tier retention limits may be deleted.

7. Data Retention and Image Processing

Retention Periods

Processed images are temporarily stored according to your subscription tier:

• Free tier: 24 hours from processing completion
• Pro tier: 7 days from processing completion
• Max tier: 14 days from processing completion

After the retention period expires, your images are automatically and permanently deleted from our servers. You are responsible for downloading your processed images before the retention period expires.

Image Processing Terms

• Temporary storage: All images are stored temporarily for processing purposes only. We do not permanently archive your images.
• No guarantees: While we strive for high-quality results, we do not guarantee specific outcomes for AI-powered operations such as upscaling, compression, or metadata generation. Results may vary based on input image quality and characteristics.
• Processing limits: Individual image file size limits may apply. Extremely large files may be rejected or require additional processing time.
• Format support: We support common image formats including PNG, JPEG, WebP, and others. Unsupported formats will be rejected with an error message.
• Backup responsibility: You are solely responsible for maintaining backups of your original images. We are not liable for any loss of original image data.

8. Acceptable Use

Permitted Use

You may use our Service for lawful business and personal purposes in accordance with these Terms.

Prohibited Activities

You agree NOT to:

• Violate any applicable laws or regulations
• Upload images that infringe on intellectual property rights
• Upload images containing harmful, offensive, illegal, or copyrighted content
• Exceed your plan's usage limits or attempt to circumvent them
• Attempt to reverse engineer or hack our Service
• Use our Service for competitive analysis or to build competing products
• Upload images containing personal data of individuals without consent
• Use automated means to access our Service without permission
• Resell or redistribute processed images without proper licensing
• Create multiple free accounts to circumvent credit limits
• Share account credentials with third parties

9. Content and Intellectual Property

Your Images

You retain ownership of images you upload. By using our Service, you grant us a limited license to process, optimize, and temporarily store your images as necessary to provide our Service. We automatically delete your images according to our retention policy.

Our Intellectual Property

The Service, including software, design, text, graphics, and trademarks, is owned by One Punch Technology, Inc. and protected by intellectual property laws.

10. Service Availability

We strive for high availability but do not guarantee uninterrupted service. We may perform maintenance or updates that temporarily affect service availability. Scheduled maintenance will be announced in advance when possible.

11. Limitation of Liability

To the maximum extent permitted by law, One Punch Technology, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to loss of data, loss of profits, or service interruptions.

12. Termination

We may terminate or suspend your account at our discretion if you violate these Terms. You may cancel your account at any time through your account settings or by contacting support.

• Upon cancellation, your access to paid features continues until the end of your current billing period
• After termination, your data will be deleted according to our retention policy
• You may request a data export before account termination

13. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or through the Service at least 30 days before they take effect. Continued use of the Service after changes constitutes acceptance of the new Terms.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
